Transfer of Control
PURSUANT TO THE PROVISIONS OF THE State Administrative Procedure Act, NOTICE is hereby given of the following proposed rule:
Proposed Action:
The Commission is considering a joint petition regarding a holding company level transaction that will result in the transfer of Mid-Hudson Cablevision Holdings, Inc. and, indirectly, Mid-Hudson Cablevision, Inc. and Home Entertainment Company.
Statutory authority:
Public Service Law, section 222
Subject:
Transfer of control.
Purpose:
To consider the joint petition seeking approval of a transfer of cable television franchises.
Substance of proposed rule:
The Public Service Commission is considering a joint petition filed by Mid-Hudson Cablevision Holdings, Inc. (Mid-Hudson), Mid-Hudson Cablevision, Inc. (MHC), Home Entertainment Company (also known as Catskill Mountain Cablevision), the Mid-Hudson Cablevision Holdings, Inc. Employee Stock Ownership Trust and the Mid-Hudson Cablevision Holdings, Inc. Employee Stock Ownership Plan (collectively the Mid-Hudson ESOP) for approval of a holding company level transaction that will result in transfer of control to the Mid-Hudson ESOP of (1) Mid-Hudson and (2) indirectly, Mid-Hudson Cablevision, Inc. (MHC) and Home Entertainment Company. As a result of the proposed transaction, MHC will remain the franchisee under each of its franchise agreements. The franchises include towns in the counties of Albany, Columbia, and Greene. Mid-Hudson proposes to tie retirement benefits of participating employees to the business results of the MHC and Home Entertainment Company. Mid-Hudson anticipates that there will be no change in management or changes to customers’ rates, terms or conditions as a result of the transaction.
