COMMENTS AND SOURCE NOTES
The Committee Comments and Source Notes provided throughout this title were supplied by the Pennsylvania Bar Association’s Title 15 drafting committee, and may be used in determining the intent of the General Assembly. See 1 Pa.C.S. § 1939 and In re Martin's Estate, 365 Pa. 280, 74 A.2d 120 (1950).
Committee Comment--2013
For a number of years the Title 15 / Business Associations Committee (the “Committee”) of the Section on Business Law of the Pennsylvania Bar Association has been engaged in a project looking to enactment of a complete Title 15 of the Pennsylvania Consolidated Statutes dealing with corporations, partnerships, and unincorporated associations. As part of that project, the Committee has prepared legislation, known as the GAA Amendments Act of 2013 (the “2013 G4A”), which completes the revision of the Nonprofit Corporation Law begun in 1988 (the “NPCL”), enacts the Uniform Unincorporated Nonprofit Association Act, and makes other related and miscellaneous changes to Title 15.
The 2013 Committee Comments supersede the prior Committee Comments. For each section of Title 15 for which an amendment was proposed, the Committee reviewed that section's attendant Committee Comment generally and revised it as appropriate. The Committee believes that the full updated Committee Comment should satisfy the test of 1 Pa.C.S. § 1939 because the changes in the Committee Comment that do not have a corresponding change in the statutory text are based on the assumption that the General Assembly should be deemed to have concluded that an amendment of the statutory text is unnecessary if the interpretation in the Committee Comment is correct.
HISTORICAL AND STATUTORY NOTES
Act 2013-67 legislation
Section 1 of 2013, July 9, P.L. 476, No. 67, effective in 60 days [Sept. 9, 2013], provides that “[t]his act shall be known and may be cited as the GAA Amendments Act of 2013.”
Act 2014-172 legislation
Section 1 of 2014, Oct. 22, P.L. 2640, No. 172, effective July 1, 2015, provides that “[t]his act shall be known and may be cited as the Association Transactions Act.”
