(a) No provision of this Part shall be the basis for any claim based on this Part against the corporation or any of its directors, officers or employees.

(b) This Part shall not alter the rights and obligations of any contract of the corporation with a third party executed before adoption of this Part, nor shall this Part be deemed to alter the terms of any contract or affect the validity of any contract made in violation of or without compliance with this Part.
